FRANCHISING
&
LICENSING
We also assist clients in transactional activities to expand
their businesses through licensing, franchising, joint ventures
and distribution arrangements. Over the years the Firm has been
involved in over 40 franchising negotiations for the most
diverse businesses, like hotels. restaurants, fast food
services, entertainment services, internet award winning events,
consumer products, gourmet cafes, bars, printing services, real
estate, weight reduction and movie theaters, among others. We
have developed unparalleled experience guiding international
Franchisors in understanding and adapting their franchise
agreements to local laws. Some other times we have assisted
local franchisees in negotiating franchise agreements with
foreign franchisors. Knowing both sides of the issue is an
added value attractive to local, medium size clients that have
turned to us when converting their businesses into franchise
operations.
Additionally, some other clients
have engaged in character licensing to launch international and
local merchandising programs, which demands a thorough analysis
of available trademark, copyright and contracting options. Some
others undertake licensing as a legal venue for outsourcing the
manufacture of their products under proprietary formulas and
know how. We have constantly persuaded our clients to adopt
confidentiality protection programs that include defining
confidentiality policies, presentations to management and
employees and structuring the proper contractual protection of
proprietary information.
